Real Estate Holding Companies / Real Estate Management
BPM performed the valuation of several real estate holding and management companies in a partnership dispute and subsequent buy-out of one of the partners. Our work included the review, analysis and revision of a valuation of the subject companies by Arthur Andersen, and we addressed issues regarding the marketability discounts used by the other appraiser. Additionally, we worked with both sides of the dispute to aid in the settlement process.
Professional Employer Organization
BPM was retained to perform a valuation for the purposes of redeeming an owner’s interest in a Professional Employer Organization (PEO). In addition to the valuation, we worked with the owner’s attorneys to develop restated financial statements for the PEO pursuant to Court Order.
Real Estate Holding Company
BPM prepared a valuation of a real estate holding company that was operating a residential hotel for the purposes of an owner buy-out pursuant to California Corporate Code Section 2000. The valuation required consideration of a CALDAP loan with loan forgiveness features. We also considered the tax implications of the loan in completing the valuation.
Limited Liability Company
BPM prepared the valuation of this limited liability company for estate and gift tax purposes. During the course of this valuation, we addressed issues regarding the appropriate minority interest and marketability discounts.
Moving Company
BPM performed a valuation for a large national moving and storage company. Our valuation was used for the purpose of selling the company to an outside third party.
Pre-cast Concrete Manufacturer
BPM prepared the valuation of both controlling and non-controlling interests in a company that manufactures above and below ground pre-cast concrete enclosures used to support and protect the infrastructure of several industries. The company owners used the valuation for a change in its corporate form and for the purpose of buying out a minority interest holder.
Semiconductor Capital Equipment Manufacturer
During the course of a marital dissolution matter, BPM prepared valuations for two companies in which the community had an interest. The first company manufactured automated testing equipment including printed circuit boards, signal testers, and head manipulators. The second company performed “burn in,” life testing, and electrical testing for integrated circuits used in the semiconductor industry.
E-Business / Information Technology Consulting and Outsourcing Firm
BPM prepared the valuation of a 100% controlling interest in a leading e-business which provided information technology consulting and outsourcing. The valuation was used during litigation in a breach of contract dispute that arose during the sale of the business.
Technology Manufacturer
BPM prepared the valuation of a minority interest for estate and financial planning purposes of a company that provides calibration and repair services for a wide range of electronic, analytical, mechanical, dimensional measuring and testing equipment.
Information Technology Consulting Company
BPM performed the valuation of a large information technology consulting company for purposes establishing stock value for option grants under IRS Section 409A. Our valuation included both the valuation of the equity interest in the company, as well as allocation of that equity interest between common stock and several series of preferred stock. Concurrent with the valuation, we advised the client on the tax implications of 409A on the company's option grants.
BPM also performed the valuation of intangible assets that the company acquired, and performed a purchase price allocation of these acquired assets pursuant to FAS141 financial reporting requirements.
Life Sciences Company
BPM has prepared numerous valuations of warrants and other derivatives including anti-dilution entitlements related to the client company’s multiple rounds of debt and equity financing. These valuations are updated quarterly and used for financial reporting purposes.
Electrical Transportation Company
BPM performed quarterly valuations of contingent liabilities that were dependent on the company’s future stock price for financial reporting purposes.
